Nimbus Digital Designs

1. Definitions
“Service Provider”, “we”, “us”, or “our” refers to Nimbus Digital Designs.
“Client”, “you”, or “your” refers to any party purchasing or engaging our services.
“Services” refers to web design, development, lead generation, digital marketing, or any digital service provided under agreement.
2. Scope of Engagement
All work performed by Nimbus Digital Designs is subject to these Terms and Conditions. By commissioning work or submitting payment, the Client agrees to be bound by them.
3. Payment Terms
3.1 Payment Models
We offer two payment models:
One-off payment model: Payment made upfront or in agreed stages.
Monthly subscription model: 12-month commitment paid in equal monthly instalments.
After the 12-month period, monthly plans continue on a rolling basis, cancelable with 30 days’ written notice.
3.2 Early Termination Fee (for Monthly Plans)
If a Client terminates a 12-month plan before its conclusion, the total contract value will be calculated (i.e., 12 months × monthly rate), and the Client will be liable for:
Payment for work completed to date (see Clause 4)
Any remaining instalments owed under the 12-month agreement
All remaining balances must be paid within 14 days of termination notice.
4. Refund & Cancellation Policy
4.1 Cancellation Terms
The Client may cancel at any time by written notice. However:
If no work has commenced, a full refund may be issued (excluding any transaction fees).
If work has begun, the Client will be liable for the percentage of work completed at the time of cancellation.
Example: If 70% of a £2,400 project is completed, £1,680 is payable and only £720 may be refunded.
For monthly subscriptions, the full 12-month contract value is used to calculate the total project price, even if paid monthly.
4.2 Completed Projects
If the website, marketing funnel, or lead generation system has been substantially completed or materially delivered — regardless of Client feedback, approval, public launch, or usage — the Client is not eligible for any refund.
4.3 Lead Generation
Lead generation services are result-driven but not result-guaranteed unless explicitly stated in writing. The performance of ads and campaigns can vary depending on seasonality, location, industry, and budget.
Leads are defined as contact details submitted through a tracked landing page or form.
We are not responsible for the Client’s sales process, lead response time, or conversion rate.
Paid advertising budgets are separate from our service fees.
Lead quantity and quality are affected by factors outside of our control, including market demand, ad spend, timing, and geographic targeting.
4.4 Termination by Us
We reserve the right to terminate any project if:
The Client fails to communicate or provide required content
Payments are not made on time
There is a breach of these terms
In such cases, the Client will remain liable for all work completed and any contracted payments due.
5. Timeline & Delivery
Project timelines are estimations and may vary based on content delivery, communication, or revisions from the Client. Delays caused by the Client may extend delivery timelines. Timelines for ad performance or lead results cannot be guaranteed unless stated.
6. Intellectual Property Rights
All intellectual property (including designs, code, content, campaigns, and digital assets) created by Nimbus Digital Designs remains our property until all payments are received in full.
Upon final payment, ownership of the completed website is transferred to the Client, excluding:
Licensed third-party software
Fonts, plugins, or frameworks subject to separate licenses
We retain the right to display the completed project in our portfolio.
7. Client Responsibilities
The Client agrees to:
Provide timely access to content, branding, login credentials, and feedback
Respond to communications to avoid project delays
Follow up promptly with any leads generated through campaigns
Failure to do so may pause or delay the project and does not exempt the Client from agreed payments.
8. Support & Maintenance
Post-launch support is included for 30 days to address bugs or minor changes. Any additional support, updates, ad campaign management, or ongoing optimisation will be billed separately or included in a retainer plan if agreed in advance.
9. Confidentiality
Both parties agree to maintain confidentiality regarding proprietary information, strategies, login credentials, and business details, unless disclosure is required by law or with written consent.
10. Governing Law
These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the English courts.
11. Modifications
Nimbus Digital Designs reserves the right to modify these Terms & Conditions at any time. Clients will be notified of material changes via email or posted updates. Continued use of our services constitutes acceptance of the latest version.
12. Agreement & Acceptance
By commissioning services, submitting payment, or continuing collaboration, the Client confirms full acceptance of these Terms & Conditions.
